Terms of Service

1. Acceptance of Terms

By accessing or using FileSwitch ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not access or use the Service. We reserve the right to modify these terms at any time without prior notice. Your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

FileSwitch provides online file conversion tools that allow users to convert files between various formats (including but not limited to HTML, PDF, images, JSON, and XML). The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

3. User Responsibilities

You are solely responsible for the files you upload and convert using the Service. You represent and warrant that:

  • You have the legal right to upload, convert, and download all files processed through the Service.
  • Your use of the Service will not violate any applicable law, regulation, or third-party rights.
  • You will not upload files containing malware, viruses, or any harmful content.
  • You will not use the Service for any illegal, fraudulent, or malicious purpose.
  • You will not attempt to overload, disrupt, or compromise the Service or its infrastructure.

4. File Retention and Deletion

Uploaded and converted files are stored temporarily for the purpose of providing the conversion service. All files are automatically deleted from our servers within a reasonable period after conversion. We do not guarantee the availability of any files after processing. You are responsible for downloading your converted files promptly. We are not liable for any loss of files after they have been deleted from our servers.

5. Intellectual Property

You retain full ownership and intellectual property rights to all files you upload and convert through the Service. We claim no ownership over your content. By using the Service, you grant us a limited, non-exclusive license to process your files solely for the purpose of performing the requested conversion. This license terminates immediately upon deletion of your files from our servers.

6. Prohibited Uses

You agree not to use the Service to:

  • Convert files that contain illegal, obscene, defamatory, or harmful content.
  • Infringe upon the intellectual property rights of any third party.
  • Transmit spam, chain letters, or unsolicited communications.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Use automated scripts, bots, or crawlers to access or use the Service.
  • Resell, sublicense, or commercially redistribute the Service without written permission.

7. Limitation of Liability

To the maximum extent permitted by applicable law, FileSwitch, its owners, operators, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, files, business opportunities, or goodwill, arising out of or in connection with your use of the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability exceed the greater of one hundred dollars ($100.00 USD) or the amount you paid us (if any) in the past six months for the Service giving rise to the claim.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any conversion results.

9. Indemnification

You agree to indemnify, defend, and hold harmless FileSwitch, its owners, operators, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Service Availability

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We may also impose limits on certain features or restrict access to parts or all of the Service without liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the operator resides, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in that jurisdiction.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FileSwitch regarding the use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
